Legal Counsel

The Role

In this role, you will provide timely and effective legal advice to all levels of management on a variety of matters including general corporate matters, contracts, acquisitions, financing, employment, litigation, intellectual property, risk management and corporate governance.

The Legal Counsel will work alongside the General Counsel to provide day to day guidance, legal advice related to contracts and other legal matters for departments and/or regions. The successful candidate will be on-site or hybrid from KGS Group’s Winnipeg location.

It is expected that this would be a full-time position, but KGS Group would consider other arrangements at the request of the applicant. Flexible schedules may also be accommodated.

Key Responsibilities, include but are not limited to:

  • Provide legal assistance for the negotiation, and interpretation of contracts relating to engineering services.
  • Review, draft, and negotiate a wide range of commercial contracts to support business goals and strategies.
  • Provide timely legal advice to project teams throughout the project lifecycle.
  • Provide proactive and solution-oriented legal advice to management.
  • Support the development of policies, procedures, and programs to ensure regulatory compliance alongside the General Counsel, human resources team, and management.
  • Support business transactions, including mergers, acquisitions, and financing.
  • Help ensure that projects, contracts, and all actions of the company comply with federal and provincial laws and regulations.
  • Provide guidance on intellectual property matters, confidentiality agreements, and contracts.
  • Provide support for ongoing projects and legal advice in the normal course of business, as required.

About You

To fill the role, we are looking for an applicant to bring forward a good mix of qualifications and previous experiences. Some highlights include:

  • Bachelor of Laws/Juris Doctor degree from a reputable Canadian university (or equivalent).
  • A practicing member of, or eligible to be, a practicing member of the Law Society of Manitoba.
  • 5+ years of legal experience is preferred.
  • Background and experience in the following areas of law is an asset: corporate & commercial, employment, health and safety, policy development, dispute resolution, litigation, human rights, and intellectual property.
  • Excellent interpersonal, verbal, and written communication skills, an established record of providing proactive, collaborative, business-friendly advice, analytical problem-solving skills, and negotiation, with ability to explain complex legal concepts to employees and staff at all levels.
  • Industry knowledge is an asset; experience in construction/engineering, and major projects (alternative delivery such as design-build, integrated project delivery (IPD) agreements and strategic projects).
  • Fast-paced, detail-oriented individual with exceptional analytical, organizational and time management skills with the ability to handle multiple files at a time.
  • Diplomatic advocacy and negotiation skills.
  • Ability to provide complete, thoroughly researched, and accurate formal and informal legal opinions.
  • Ability to work with and consult collaboratively and respectfully with key stakeholders on legal documents and policy development.
  • High degree of autonomy with the ability to take initiative and work with minimal supervision.
  • Satisfactory work record, including satisfactory attendance and punctuality.
  • Proficient with the Microsoft Office 365 suite.
